The Board of Directors of CLH confirms the appointment of Jorge Lanza as Chief Executive Officer

  • The Extraordinary General Meeting of CLH resolves to amend the company’s Articles of Association and the Regulations of the General Shareholders’ Meeting to adapt them to the standards of a non-listed company

At its meeting held earlier today, the Board of Directors of CLH confirmed the appointment of Jorge Lanza Perea as the company’s Chief Executive Officer, after his appointment as Director of CLH had been approved by the Extraordinary General Shareholders’ Meeting, which also approved the amendment of the Articles of Association and the Regulations of the General Shareholders’ Meeting, once the effective delisting of Class A and D shares of the Company from the Madrid, Barcelona, Bilbao and Valencia stock exchanges has taken place.

The main purpose of the amendment of the Articles of Association approved by the Extraordinary General Shareholders’ Meeting held today is to adapt them to the status of CLH as a non-listed company, while trying to amend the least number of articles possible, so that the good corporate governance practices applied to date can be continued, even if these are no longer compulsory for CLH upon completion of such delisting. In this regard, articles 7, 8, 14, 16 and 35 bis of the Articles of Association have been amended.

In addition to article 3 relating to the company’s corporate purpose to remove the reference to the provision of advisory services and technical assistance for the installation and maintenance of service stations, as these activities are no longer performed by the company and will not be performed in the future. Article 6, relating to the company’s registered address and branches, has also been amended to include the possibility that the management body may transfer its registered office within national territory. Certain technical improvements have also been included in articles 23 and 36.

In relation to the Regulations of the General Shareholders’ Meeting, articles 1, 4, 7, 15 and 18 have been amended in order to adapt their wording to the abovementioned amendments in the Articles of Association and maintain consistency between both sets of internal rules.

At the Board meeting held before the Shareholders’ Meeting, the Board approved the appointment through co-option of the directors proposed by the new shareholders Borealis and Vaugirard Infra, S.L. Such appointments were subsequently ratified by the Extraordinary General Shareholders’ Meeting, as were previous appointments made by the Board of Directors. Therefore, the Board of Directors of CLH has the following members:

Profile of Jorge Lanza Perea

Jorge Lanza Perea graduated as an Industrial Engineer from the School of Industrial Engineering at the Polytechnic University of Madrid, and from 2014 until now he held the position of Manager of BP’s Whiting refinery in the US. Before that, he was Executive Chairman of BP Spain and Portugal, a company in which he has held different posts over a period of more than 21 years.

The new Chief Executive Officer has proven experience in the oil sector and the development of international projects, as well as a broad knowledge of the functioning of CLH, as he was a member of the Board of Directors between 2012 and 2014.
